Please read these terms and conditions (“Terms” or “Agreement”) before completing the registration for an account with BayaniPay Global Technologies, Inc. These Terms shall govern how you may access and use the services of BayaniPay Global Technologies, Inc., the Website and App. By registering with BayaniPay Global Technologies, Inc. Website or using the BayaniPay Global Technologies, Inc. App, you accept and agree to be legally bound by these Terms and the terms of each BayaniPay Global Technologies, Inc. service you are availing.
Introduction
BayaniPay Global Technologies, Inc. is a Philippine domestic corporation that provides convenient, secure and cost-effective global financial services for institutions. The company has two embedded banking solutions, GlobalPay and GlobalPay Express, for managing local and global payments.
Payment Services
GlobalPay - A white-label service that offers institutions the benefits of having their own dedicated payment app to accept and manage local and international payments
GlobalPay Express - A quick, reliable and cost-effective solution for institutions to manage local and global payments from customers through an online payment facility
1. User Accounts and Responsibilities/ Obligations
1. To use the Bayani GlobalPay Website, users must create an account by providing required personal and financial information (“Account”).
2. BayaniPay Global Technologies, Inc. is required to comply with many regulations, including anti-money laundering laws. As such, we are required to obtain personal information from our users about and to verify the identity of our users. To comply with our obligations under applicable laws, we will request that you provide certain information to us about you after you create your Account. We will use this This information for will be used by us for the purposes of identity verification and the detection of money laundering, terrorist financing, fraud, or any other financial crimes. You agree that all such information provided by you will be complete and accurate, that you will keep us updated if any of the information you provided changes, and that we may keep a record of such information consistent with our internal policies.
3. When using the Bayani GlobalPay Website, users are prohibited from:
a. Engaging in fraudulent transactions or any illegal activities such as money laundering or terrorism financing. b. Exploiting, probing, or testing any vulnerabilities in the platform’s security or attempting unauthorized access to the platform's systems. c. Circumventing or attempting to bypass the identity verification and security procedures set by BayaniPay Global Technologies d. Using the platform to distribute or exchange funds related to unlawful activities. e. Creating multiple accounts or impersonating another person to deceive or defraud others. f. Sending or receiving payments that violate the terms of the service or applicable laws, including restricted activities as defined by financial authorities. g. Manipulating the platform’s exchange rates, fees, or terms of service to unfairly gain an advantage over other users or the platform.
4. If you become aware that an unauthorized third party is using your information to access the Service, you must promptly notify us of such use. You agree that we will not be liable for any loss or harm that you incur if someone else uses your information to access the Service, either with or without your knowledge, and that you will be solely responsible for such use, whether or not you authorized the use. You are responsible for safeguarding your Account information, including your password. You agree not to disclose your password to, or share your Account with, any third party. You are solely responsible for maintaining and protecting your username and password.
2. Fees and Charges
1. Sign-Up and Download: There are no fees associated with downloading or signing up for GlobalPay or GlobalPay Express.
2. Transaction Fees: Standard Transactions: Transaction fees vary depending on the type of service and payment method. These fees will be transparently disclosed prior to transaction confirmation.
3. Additional Fees: Certain additional fees, such as currency conversion or intermediary bank fees, may apply based on the transaction type. These fees are outside Bayani GlobalPay’s control and will be disclosed where applicable.
4. Fee Changes: Bayani GlobalPay reserves the right to revise fees at any time. Any changes will be communicated through appropriate channels (e.g., website updates, in-app notifications) before implementation.
5. Fee Refund Policy:In cases of canceled or failed transactions, applicable transaction fees may be refunded at Bayani GlobalPay’s discretion, subject to the circumstances and applicable laws.
3. Data Privacy and Security
As a condition for use of the service, Account Users permits BayaniPay Global Technologies, Inc. to process and/or disclose personal data, including data that may be classified as personal information and/or sensitive personal information under the Philippine Data Privacy Act of 2012, and to authorized BayaniPay Global Technologies, Inc. in order to undertake activities that may include:, (1) Personal identification information such as name, address, phone number, and email; and (2). Financial details such as bank account information, transaction history, and payment methods.
Data Privacy policies apply to: (1) Transaction processing: Ensuring smooth and secure transfers through GlobalPay and GlobalPay Express. (2) Identity verification: Complying with KYC and AML regulations to protect the platform and its users from fraudulent activities. (3) Marketing and promotions: With user consent, the platform may use personal data to send relevant promotional offers, updates on new features, or special deals, including those tied to partnerships with Filipino brands and services. (4) Improving platform functionality: Analyzing usage data to improve platform performance, develop new features, and enhance user experience.
Security policies include, but are not limited to, (1) Encryption Standards: All sensitive data, such as personal and transaction information, is encrypted using advanced encryption algorithms (e.g., AES-256) during transmission and storage to prevent unauthorized access. (2) Multi-Factor Authentication (MFA): To enhance account security, users are required to set up multi-factor authentication (MFA) during registration. This includes a combination of passwords, biometric verification, and one-time passcodes sent via SMS or email.
4. Limitation and Liability
BayaniPay Global Technologies, Inc. will make reasonable efforts to notify users in advance of any planned service disruptions, but the company is not liable for any unavailability or downtime caused by such events.
5. Dispute Resolution
These terms and conditions shall be governed by, and construed in accordance with, the laws of the Republic of the Philippines. Any disputes not resolved through arbitration shall be subject to the jurisdiction of the courts of Metro Manila, Philippines.

7. Termination of Service
Terminate or suspend user accounts at any time, with or without notice, under the following conditions:
● Violation of these terms and conditions. ● Engagement in fraudulent, illegal, or prohibited activities. Failure to comply with applicable laws or regulatory requirements, including anti-money laundering (AML) and Know Your Customer (KYC) obligations. ● Providing false or misleading information during account registration or verification. ● Attempting to exploit system vulnerabilities or interfere with the platform’s operation.
